Standard Conditions of Sale for Customers in the United Kingdom


1. Acceptance

A binding agreement will be created only after an order has been placed by the purchaser and accepted by Harvard Apparatus Ltd who shall not be obliged to accept any order. Upon acceptance of the order, Harvard Apparatus Ltd agrees to supply the items set out in the order subject to these conditions which shall govern the contract to the exclusion of any other terms and conditions.



2a. Terms of Payment Existing Customers

The purchaser shall pay for the goods at the price stated on the quotation/confirmation of order attached hereto plus all V.A.T. where applicable. Unless otherwise agreed in writing, all invoices are due for payment within 30 days from the date of invoice. If the purchaser fails to make payment on the due date then Harvard Apparatus shall be entitled to charge 2.5% interest per day on the amount unpaid until payment in full is made. Harvard Apparatus Limited reserve the right to insist on payment before despatch of goods for whatever reason.



2b. Terms of Payment New Customers

The purchaser shall pay for the goods at the price stated on the quotation/confirmation of order attached hereto plus all V.A.T. where applicable. Unless otherwise agreed in writing, all invoices are due for payment before the goods are despatched. This shall be the case until a credit account with Harvard Apparatus Limited is agreed in writing.



3a. Delivery

Prices quoted, except where specifically stated, do not include packing or delivery charges.



3b. Delivery Dates

Delivery dates quoted, unless expressly stated otherwise, are estimates only. Harvard Apparatus Ltd shall not be liable for any consequences of failure to deliver by any stated delivery date. Time for delivery shall not be of the essence.



4. Validity

Unless previously agreed our quotation is open to acceptance with the period stated therein.



5. V.A.T.

All prices quoted exclude V.A.T, and all similar taxes and the Purchaser will be liable for such taxes if applicable unless we are in receipt of a duly completed VAT Exemption Form.



6. Terms of Shipment

All goods are shipped on an Ex-Works basis unless previously agreed by contract/purchase order; title to the goods remains with Harvard Apparatus Ltd until payment for the goods and transport are received in full. Liability for the list price value of the goods transfers to the purchaser as soon as the goods leave the premises of Harvard Apparatus Ltd at the above address or the premises of the supplier/sub-contractor to Harvard Apparatus Ltd when goods are being shipped direct to the purchaser by the supplier/sub-contractor of Harvard Apparatus Ltd, unless previously agreed by contract/purchase order.



7. Return of Goods

Claims for shortages or breakages cannot be allowed unless the Purchaser reports them to Harvard Apparatus Ltd within five days of receipt of the goods. Goods should not be returned to Harvard Apparatus Ltd without prior agreement in the form of a Return Materials Request (RMA) number. If no claim is received by Harvard Apparatus Ltd within five days of the date of receipt of the goods by the Purchaser, the goods shall be deemed to have been accepted by the Purchaser as being in good order and in conformity with the contract, no claims will be accepted thereafter. In the event of goods being returned for credit and having been supplied as per the customer's order, we reserve the right to invoke a re-stocking charge.



8. Risk

The risk in the goods shall pass to the Purchaser on delivery.



9. Title (Retention)

Harvard Apparatus Ltd have the right to repossess any goods where payment is overdue and for this purpose the customer shall permit us access to their premises during normal working hours. You must keep the goods in such a way that they can be identified as our property. Goods remain the property of Harvard Apparatus Ltd until paid for in full.



10. Descriptions

We reserve the right to change design/specification of our products without notice. Therefore, the description and illustrations contained in our catalogue, price lists and other advertisement matter are intended merely to present a general idea of the goods described therein, and none of these form part of the contract.



11. Prices

Harvard Apparatus Ltd reserves the right to vary its established prices for supplies without notice. Harvard Apparatus Ltd cannot be responsible for any typographical errors in pricing in our price lists, literature and quotations.



12. Cancellation of Orders

Two months notice of cancellation of standing orders is required. If Harvard Apparatus are obliged to stock an item for a customer which is then subsequently cancelled by the customer, Harvard Apparatus reserve the right to deliver and invoice all outstanding stock.



13. Jurisdiction

Any agreement or order will be governed by the laws of England.



14. Variation

No variation of these conditions shall be binding upon Harvard Apparatus Ltd unless agreed in writing and signed by a director of and on behalf of Harvard Apparatus Ltd.



15. Force Majeure

If the commencement, continuation or complete performance by Harvard Apparatus Ltd of its obligations under this contract is prevented, hindered delayed or rendered uneconomic by reason of force majeure then Harvard Apparatus Ltd shall not be responsible to the Buyer for any loss or damage incurred or sustained by the Buyer as a result. For the purpose of this condition, the term Force Majeure shall include any factor affecting the performance of this contract attributable to acts, events, non-happenings, omissions or incidents beyond the reasonable control of the Company and in particular, (but without limiting the generality of the foregoing), the following namely: strikes, lock-outs, riots, civil revolution, war, state of national emergency of governmental action, trade dispute or labour disturbance, accident, break down of plant or machinery, difficulty or increased expense in obtaining workmen, materials or transport, fire, explosion, storm, flood, earthquake or other natural physical disaster or circumstances affecting the supply of the Goods (or the supply or the delivery of the Goods by the Company's normal route or means of delivery).



16. Entire Agreement

These conditions shall form the basis of the contract between Harvard Apparatus Ltd and the Purchaser and shall prevail over any conditions or terms of trading of the Purchaser.



17a. Warranty New Products

Harvard Apparatus warranties its products for a period of one year from date of purchase. At its option, Harvard Apparatus will repair or replace the unit if it is found to be defective as to workmanship or material. This warranty does not extend to damage resulting from misuse, neglect or abuse, normal wear and tear, or accident. This warranty extends only to the original customer purchaser. IN NO EVENT SHALL HARVARD APPARATUS BE LIABLE FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. THERE ARE NO IMPLIED WARRANTIES OF MERCHANTABILITY, OR FITNESS FOR A PARTICULAR USE, OR OF ANY OTHER NATURE. If a defect arises within the one-year warranty period, contact Harvard Apparatus Limited or it's agent. Please see Section 7 for return of goods. The customer is responsible for shipping charges. Please allow a reasonable period of time for completion of repairs, replacement and return. If the unit is replaced, the replacement unit is covered only for the remainder of the original warranty period dating from the purchase of the original device.



17b. Warranty Repaired Products

Harvard Apparatus warranties its repairs for a period of three months from date of shipment from Harvard Apparatus Limited at the above address.





Standard Conditions of Sale for Customers outside the United Kingdom
